1. About These Terms

These Terms of Business set out the standard terms on which Facilitated Management Limited ("we", "us", "our") supplies services. They are intended for general use and do not, by themselves, constitute a contract.

These Terms apply to and are incorporated into any quotation, proposal, order, or statement of work issued by us and accepted by you. A binding contract is formed only when an order is accepted or when we commence services, whichever occurs first.

2. Our Services

We provide facilities management and related services, which may include:

  • Planned and reactive maintenance

  • Hard and soft facilities services

  • Cleaning, waste management, and site support

  • Compliance, inspections, and reporting

  • Coordination of contractors and suppliers

The specific scope of services will be agreed in writing for each engagement.

3. Customer Responsibilities

You must:

  • Provide safe and timely access to premises, systems, and information

  • Ensure information supplied to us is accurate and complete

  • Obtain all permissions, licences, and consents required for the services

We are not responsible for delays or failures caused by your failure to meet these obligations.

4. Fees, VAT, CIS & Domestic Reverse Charge

Fees are set out in our quotation or order and are exclusive of VAT unless stated otherwise.

Where applicable:

  • VAT will be charged at the prevailing rate

  • Services may fall under the Construction Industry Scheme (CIS), in which case deductions must be made in accordance with HMRC rules

  • The Domestic Reverse Charge (DRC) for VAT may apply, meaning VAT is accounted for by you rather than charged by us

You are responsible for determining the correct tax treatment and for providing any required CIS documentation.

5. Payment

Unless otherwise agreed, invoices are payable within 7 days of the invoice date.

Late payments may attract statutory interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend services where payment is overdue.

6. Service Levels

Where agreed, services may be delivered in accordance with service levels and key performance indicators (KPIs). These may vary depending on site type and risk profile.

Service levels apply only where expressly referenced in a quotation or order.

7. Health & Safety and Compliance

Both parties shall comply with all applicable health and safety legislation and site rules.

Where services include statutory inspections or compliance activities, records will be maintained in accordance with legal requirements.

8. Intellectual Property

All intellectual property rights in materials and methodologies created by us remain our property unless otherwise agreed. Upon full payment, you are granted a licence to use deliverables for your internal business purposes.

9. Confidentiality

Each party shall keep confidential any non-public information received from the other and shall not disclose it except as required to perform the services or by law.

10. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

Subject to this, our total liability is limited to the fees paid for the relevant services, and we are not liable for indirect or consequential loss, loss of profit, business, or goodwill.

11. Termination

Either party may terminate services for material breach that is not remedied within a reasonable period, or immediately in the event of insolvency.

Termination does not affect rights accrued prior to termination.

12. Data Protection

Each party shall comply with the UK GDPR and the Data Protection Act 2018.

13. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including extreme weather, industrial action, or government measures.

14. General

  • Failure to enforce any right does not constitute a waiver

  • If any provision is held unenforceable, the remainder shall continue in effect

15. Governing Law

These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
